4. Client Engagements
Proposals and Agreements
Services are provided under a written proposal or agreement accepted by the client. No services will commence until both parties have agreed in writing on scope, timeline, and payment terms.
Ownership of Deliverables
All work product created by Inspired Reach Co. remains our property until full payment is received. Upon receipt of full payment, ownership of agreed deliverables transfers to the client, except for:
- Any third-party tools, platforms, or licensed assets incorporated into the deliverables
- Our proprietary methodologies, templates, and processes used to create the deliverables
Client Responsibilities
Clients are responsible for providing timely access to accounts, assets, and approvals needed to perform services. Delays caused by the client may affect timelines without penalty to Inspired Reach Co.
Payment Terms
Payment terms are specified in the client agreement. Unless otherwise agreed in writing, invoices are due within 15 business days of the invoice date. Late payments may incur interest at 1.5% per month on outstanding balances.

No Guaranteed Results
Digital marketing results vary significantly based on market conditions, competition, budget, and factors outside our control (including Google and Meta algorithm changes). We do not guarantee specific rankings, traffic levels, leads, or revenue outcomes. Any projections or estimates we provide are our professional judgment, not contractual guarantees.

Limitation of Liability

We are not responsible for changes to these platforms' policies, algorithms, pricing, or availability. Platform policy violations resulting from client-provided content or instructions are the client's responsibility.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement, including pricing, strategies, and business information, and not to disclose it to third parties without the other party's written consent. This obligation survives termination of the engagement for two years.
8. Termination
Either party may terminate a service engagement with 30 days' written notice, unless otherwise stated in the client agreement. Upon termination, the client is responsible for payment of all services rendered up to the termination date. We will provide all completed deliverables to the client upon receipt of outstanding payment.
9. Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve it through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to mediation in Toronto, Ontario. If mediation fails, disputes shall be resolved by arbitration under the Arbitration Act, 1991 (Ontario).
10. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated date. Your continued use of our Website after changes constitutes acceptance of the updated Terms.
